These Terms govern your access to and use of lupa. — the positioning intelligence platform. By using lupa., you agree to these Terms. Please read them carefully.

These Terms apply to all users of lupa., including creators who complete the positioning diagnostic, brands who access lupa. intelligence, and agencies who use lupa. on behalf of clients. “lupa.,” “we,” “us,” and “our” refer to Culture-Watch LLC, a New York company.
By creating an account or using any part of the lupa. service, you confirm that you are at least 18 years old and have the authority to enter into a binding agreement.

lupa. is a positioning intelligence platform that analyzes how creators are interpreted by markets, audiences, and brands. Our service includes:
lupa. provides intelligence and analysis — not career advice, financial advice, or guarantees of brand partnerships or business outcomes. Diagnostic outputs reflect our analytical interpretation of publicly available signals and information you provide. They are not endorsements, guarantees, or predictions.

You are responsible for maintaining the security of your account and for all activity that occurs under it. Do not share your credentials with others. Notify us immediately at hello@culture-watch.com if you believe your account has been compromised.
We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or misuse the platform in ways that harm other users or the integrity of our service.

By submitting content to lupa. — including social media handles, connected accounts, diagnostic responses, and any other information — you grant lupa. a limited license to use that content to provide and improve the service.
You retain all ownership of your content. We do not claim any intellectual property rights over the materials you submit. We will not share your individual content, diagnostic results, or personal data with third parties except as described in our Privacy Policy.
You are responsible for ensuring that any content you submit does not infringe third-party rights and that you have the right to share it with us for analysis purposes.

The lupa. platform, diagnostic framework, report structure, signal taxonomy, and all related methodology are the intellectual property of Culture-Watch LLC. These Terms do not grant you any right to reproduce, distribute, or create derivative works based on lupa.’s methodology, frameworks, or platform design.
Your positioning Brief is yours. You may share it, reference it, and use it to inform your own strategy. You may not resell, license, or distribute it as a product or service.

lupa. is offered as a quarterly subscription. Pricing is displayed at the point of purchase. All payments are processed by our third-party payment processor. By subscribing, you authorize us to charge the payment method on file each quarter.
Subscriptions renew automatically unless cancelled before the renewal date. You may cancel at any time from your account settings. Cancellation takes effect at the end of the current billing period. We do not offer refunds for partial billing periods, except where required by applicable law.

lupa. is provided “as is.” We make no warranties, express or implied, about the accuracy, completeness, or fitness for purpose of any diagnostic output or strategic recommendation.
To the fullest extent permitted by law, lupa.’s total liability to you for any claim arising from your use of the platform shall not exceed the amount you paid us in the 12 months prior to the claim. We are not liable for indirect, incidental, consequential, or punitive damages.
Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for fraud or personal injury caused by our negligence.

These Terms are governed by the laws of the State of New York, without regard to its conflict of law provisions. Any dispute arising from these Terms or your use of lupa. shall be resolved by binding arbitration in New York, NY, administered under the rules of the American Arbitration Association, except that either party may seek emergency injunctive relief in court.
You waive any right to participate in a class action lawsuit or class-wide arbitration against lupa.

We may update these Terms from time to time. When we do, we will revise the “last updated” date above. If changes are material, we will notify you by email at least 14 days before they take effect. Your continued use of lupa. after the effective date constitutes acceptance of the revised Terms.
If you do not agree with the revised Terms, you may close your account before they take effect.
